1. Agreement to Terms
Welcome to Dynamics 360. These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you") and Dynamics 360 ("we," "us"). These Terms govern your access to and use of our integrated services, which include the Dynamics 360 personality assessment (the “Assessment”), an internal communication platform (the “Communication Platform”), and a corporate information portal (the “Information Portal”), collectively referred to as the "Service".
By accessing or using any part of the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Service.
2. The Service
Dynamics 360 provides a multi-faceted platform for professional development and corporate engagement:
• The Assessment: A proprietary personality assessment tool that generates a personalised report for development, coaching, and team-building purposes.
• The Communication Platform: A private forum for Users within a Sponsoring Organisation to communicate, collaborate, and share insights.
• The Information Portal: A dedicated channel where we disseminate company news, product updates, and other official information.
3. Acceptable Use and User Obligations
Your access to the Service is conditional upon your strict adherence to the following rules:
• Accuracy: You agree to provide true, accurate, and complete information during registration and in your use of the Service.
• Prohibited Content: You may not upload, post, share, or transmit any content on the Communication Platform that is:
o Unlawful, fraudulent, defamatory, harassing, abusive, hateful, or discriminatory.
o Obscene, pornographic, or otherwise morally objectionable.
o An infringement on any third party's intellectual property rights, privacy rights, or other proprietary rights.
o Spam, unauthorised advertising, or any form of commercial solicitation.
o Containing viruses, malware, or any other malicious code.
• Confidentiality and Non-Dissemination: You acknowledge that the platforms are private and confidential environments.
o Content from the Communication Platform, including discussions, comments, and shared files, is strictly confidential to the members of your Sponsoring Organisation's group. You agree not to screenshot, copy, record, or share any part of these communications outside of the platform.
o Content from the Information Portal, including news and product updates, is for your internal use only and may not be disseminated, shared publicly, or distributed to any external party without our express written permission.
4. Privacy and Data Protection (POPIA)
Our collection and use of your personal information is governed by our Privacy Policy. In accordance with the Protection of Personal Information Act (POPIA), you explicitly consent for us to process your assessment data to generate your report and to share this report with your Sponsoring Organisation. All content you generate on the Service is subject to our Privacy Policy and these Terms.
5. Intellectual Property Rights
All rights, title, and interest in the Service (excluding User-generated content) are the exclusive property of Dynamics 360. This includes all content on the Assessment and the Information Portal. We grant you a limited, non-transferable license to use the Service as intended. You are solely responsible for the content you post on the Communication Platform and warrant that you have the right to post it.
6. Disclaimers and Limitation of Liability
• Disclaimer of Warranties: The Service is provided "AS IS" without warranties of any kind. The Assessment is a development tool, not a medical or psychological diagnostic instrument, and should not be the sole basis for employment decisions.
• Limitation of Liability: To the fullest extent permitted by law, Dynamics 360 and its affiliates shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Service or reliance on its content.
• Indemnification: You agree to indemnify and hold harmless Dynamics 360 from any claims, damages, or expenses (including legal fees) arising from your violation of these Terms, particularly the Acceptable Use and Confidentiality clauses outlined in Section 3.
7. Termination
We reserve the right to suspend or terminate your access to the Service immediately and without notice for any breach of these Terms, particularly for violations of the Acceptable Use policy.
8. Governing Law and Jurisdiction
These Terms are governed by the laws of the Republic of South Africa. Any disputes shall be subject to the exclusive jurisdiction of the courts located in the province of Gauteng.
9. General Provisions
• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Dynamics 360.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
• Changes to Terms: We may modify these Terms at any time. We will provide notice of significant changes, and your continued use of the Service thereafter will constitute acceptance of the new Terms.
